Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify and hold harmless WellAware AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another person or entity

14. Dispute Resolution

Informal Resolution

Before filing any formal claim, you agree to contact us at legal@wellawareai.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.

Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Alameda County, California.

Class Action Waiver

You agree that any dispute resolution will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Termination

We may suspend or terminate your access to the Service at any time, for any reason, without notice, including but not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Extended periods of inactivity

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will survive.

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles.
